Audit and assurance
The auditor's report, the limited review report, or the agreed-upon procedures report - together with a management letter setting out the internal control weaknesses identified and the recommendations for addressing them.
A professional limited liability company registered with the Saudi Organization for Chartered and Professional Accountants
Our services cover advisory on governance, internal control and financial performance, alongside audit and assurance, and zakat and tax. The partner directly supervises every engagement and approves all reports the firm issues.
Asset Structure Certified Public Accountants is a professional limited liability company in Riyadh, where the founding partner practises under licence No. 1252 from the Saudi Organization for Chartered and Professional Accountants.
The firm provides financial advisory on the design of internal control systems and governance regulations, cost management, and the building of accounting systems, management reporting and performance indicators. It provides audit and assurance (the audit of financial statements, limited review and agreed-upon procedures), zakat and tax, and accounting expertise before the courts.
We do not place an intermediary team between you and the partner. Your direct contact and the technical discussion are always with the partner who signs the report and carries statutory responsibility for it.
Work is performed under the partner's supervision and professional responsibility. The partner approves the engagement file and the report before issue.
We apply the auditing standards and the international financial reporting standards endorsed in the Kingdom, and we build governance and internal control work on the Companies Law and its regulations and on the COSO internal control framework.
We define the expected deliverables for every service before signing, and the engagement letter documents the scope, the deliverables, the timeline and the fees clearly.

Six pillars, each with deliverables fixed before signing.
The auditor's report, the limited review report, or the agreed-upon procedures report - together with a management letter setting out the internal control weaknesses identified and the recommendations for addressing them.
An operative policies and procedures manual and a delegation of authority matrix, regulations ready for board and committee approval, a risk register with named owners and treatment plans, and an internal control assessment report that ranks the gaps by priority.
A costing model with its allocation bases documented, a monthly reporting pack with each indicator defined along with how it is calculated and where its data comes from, an annual budget with its cash flows, and a chart of accounts built around the reporting structure required.
A completed return ready for submission, a documentation file organised against the lines of the return, and a memorandum of the zakat and tax positions likely to be examined and their statutory basis.
An expert accounting report built on documents and tied to its evidence, fit to be relied on before the court, or a financial investigation report setting out the facts established, their financial effect and the evidence supporting them, or a liquidation account and closing report.
Financial statements prepared under the standards endorsed in the Kingdom with their notes, and accounting records closed and reconciled monthly.
| Situation | What it looks like, and what we do |
|---|---|
| An entity moving from owner-led to institutional management | Decisions can no longer all pass through one person, and there are no written regulations or authorities. We build the regulations, the delegation of authority matrix, the policies and the internal control system. |
| An entity that has grown while its financial systems have not | The numbers arrive late, or they do not answer the question of profitability and cost. We design the accounting system, the costing model and the reporting pack with its indicators. |
| A statutory obligation requiring a certified public accountant's report | An annual audit, a zakat or tax return, or a report required by a lender or a regulator. We carry out the engagement and issue the report within its defined scope. |
| A situation calling for an independent accounting opinion | A dispute between partners, a suspected financial irregularity, a partnership ending, or a purchase under consideration. We produce an examination, investigation or due diligence report. |
| A subsidiary of a foreign group that needs a Saudi auditor | The group needs the local statutory financial statements audited to its own close timetable, by an auditor who responds to the group auditor's instructions. We plan the engagement around the group reporting calendar and report to the group auditor within the scope agreed in the engagement letter. |
Joint stock companies and limited liability companies appoint an external auditor under the Companies Law. Micro and small companies are exempt if they meet two of three thresholds (revenue and assets each up to SAR 10 million, and up to 49 employees), unless partners holding 10 per cent of the voting rights ask for an auditor. The exemption does not extend to foreign companies.
Financial statements are filed with the Ministry of Commerce through the Qawaem platform within the period the Companies Law sets for each company form. Zakat and income tax returns are due to the Zakat, Tax and Customs Authority within 120 days of the financial year end.
The audited financial statements are filed with the zakat or income tax return, so the audit timetable sets the filing timetable. A mixed-ownership company files zakat on the Saudi share and income tax on the foreign share from the same set of statements.
Only a practitioner licensed by the Saudi Organization for Chartered and Professional Accountants can sign a statutory audit report. Bookkeeping and the preparation of financial statements can be done by others, and the firm that prepares a company's statements cannot audit them.
The statutory audit report is issued in Arabic. An English translation is provided for group reporting purposes, and the Arabic text governs.
Every client sits on one track. A client we audit receives audit and the assurance services permitted alongside it, and our advisory, accounting, and zakat and tax compliance work is for entities whose financial statements we do not audit. An entity whose accounting or control system we design is audited by another firm, in line with the independence requirements and to avoid the self-review threat.
We explain this to the client at the first meeting, before the scope of work is set or fees are discussed.
Audit and review engagements are performed under the firm's quality management system, applying the quality management standard (1) as endorsed in the Kingdom. On every engagement the partner sets the work plan, directs its execution, and approves the engagement file and the final report before issue. The report sets out clearly the scope of what was examined, what was excluded, and the professional reasons for it.
